Class participants also will have an opportunity to examine maps, drawings, and photos depicting life in early Pittsfield Township. Preregistration required; members $8, nonmembers $15.

Cobblestone Farm Association

Proposed Amendments to the Bylaws

February 19, 2012 Annual Meeting

Article II Purpose

Current: Mission and Objectives

Proposed:

Section 1 The purpose of the Cobblestone Farm Association, in conjunction with the City of Ann Arbor which owns and maintains the physical facility, is to endeavor to educate the public about 19th Century farm life in Washtenaw County. This is to be achieved through preservation and restoration of the Ticknor-Campbell farm site in collaboration with the Historic District Commission. The Association provides ongoing research, documentation, and archival storage of the history of the property and its resources. The Association acquires, catalogues, interprets, and provides stewardship of historically appropriate resources and artifacts. The Association provides material culture exhibits which interpret significant periods of the farm's history for the benefit of the community.

Section 2 Cobblestone Farm Association, Inc. is a Michigan non-profit Corporation which has 501(c)(3) designation with the Internal Revenue Code. Cobblestone Farm Association, Inc. may do all things permitted by its Articles of Incorporation and by the relevant rules of the Internal Revenue Service.

Rationale: Amendment required to correlate with the changes in the Articles of Incorporation.

Article IV Dues

Current:

Section 2 The membership year is January 1 through December 31. A notification of the membership dues will be included with the Annual Letter.

Proposed:

The membership year is January 1 through December 31.

Rationale: Deleting the second sentence because it addresses administrative duties and does not need to be in the Bylaws.

Article V Meeting of the Members

Current:

Section 2 Beginning in 1996, the Annual Meeting is held on that Wednesday in February nearest to George Washingtons birthday, February 22. At the annual meeting members of the Board of Directors are elected and any other Association business may be transacted.

Proposed:

Section 2 The Annual Meeting shall be held in April, the date and time to be determined by the Board of Directors. Elections shall be held and any other Association business may be transacted.

Article VI Board of Directors

Current:

No Director may profit, or be perceived as profiting in a personal or financial manner, from any Board decision. Such profit, either real or perceived, represents a conflict of interest, and the Boards policy prohibits participation of a Director in any Board deliberations and decision making in which he/she has a financial or personal interest.

Proposed:

No Director may profit from any Board decision, or be perceived as profiting in a personal or financial manner. Such profit, either real or perceived, represents a conflict of interest, and the Boards policy prohibits participation of a Director in any Board deliberations and decision making in which he/she has a financial or personal interest. Each Director shall annually sign a Conflict of Interest form. Refusal to sign the form shall constitute removal from the Board.

Article X Fiscal Year

Current:

The fiscal year is from March first to February twenty-eighth/ninth.

Proposed:

The fiscal year shall be from January 1 through December 31.

Rationale: To align with the membership year.

Cobblestone Farm is an 1844 Classic Revival farmhouse, and was originally a two-family home. Benajah Ticknor, a U.S. Naval surgeon, and Heman Ticknor, Whig Politician and farmer, shared occupancy of this stone structure with their families. Being restored and interpreted to reflect its mid-nineteenth century appearance, the farm provides a view of past rural life in Washtenaw County. Today the site is administered through the Ann Arbor Department of Parks and Recreation in a partnership with the Cobblestone Farm Association.
